Declaration on Corporate Governance according to Section 289f (4) of the German Commercial Code (HGB)

 

SCHOTTEL GmbH submits a declaration on corporate governance in accordance with the legal requirements of Section 289f (4) HGB. The background is the obligation, as a company subject to co-determination, to set and publish targets for the proportion of women in leadership positions as well as deadlines for achieving these targets.

The selection of employees for the highest management levels and the appointment of the supervisory board are carried out with special consideration for a balanced gender ratio, provided the qualifications are equal.

In September 2024, the shareholders' meeting of SCHOTTEL GmbH decided on the following targets:

  • A target of 15% was set for the proportion of women on the supervisory board.

  • A target of 0% was set for the proportion of women in management. This is due to SCHOTTEL GmbH being represented by a sole managing director whose appointment does not end before the implementation deadline.

  • A target of 10% was set for the proportion of women in the two management levels below the managing director.

A five-year implementation period was set for all targets, until the year 2029.
